1. INTRODUCTION
1.1 These Terms and Conditions (“Terms”) govern the provision of business consulting and development services by J'S Business Development Consulting Limited (“the Company”, “we”, “us”, or “our”) to the client (“Client”, “you”, or “your”).

3.2 The scope of services will be agreed in writing via proposal, engagement letter, or service agreement before commencement.

4. CLIENT OBLIGATIONS
4.1 The Client agrees to provide accurate, complete, and timely information necessary for the performance of services and to cooperate fully with reasonable requests.
4.2 We are not responsible for delays or failures resulting from incomplete or inaccurate information provided by the Client.
5. FEES AND PAYMENT
5.1 Fees shall be as set out in the agreed proposal, engagement letter, or invoice.
5.2 Unless otherwise agreed, invoices are payable within 14 days of issue and must be paid in GBP (£).
5.3 We reserve the right to require payment in advance and to suspend services if payment is overdue.
5.4 Late payments may incur interest at 8% above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998.
5.5 All fees are exclusive of VAT unless otherwise stated.
6. CANCELLATION AND TERMINATION
6.1 Either party may terminate the engagement by giving written notice.
6.2 Upon termination, the Client must pay for all services rendered up to the termination date. Any non-refundable deposits remain payable.
6.3 We may terminate immediately if the Client breaches these Terms, fails to pay, or engages in unlawful activity.
7. CONFIDENTIALITY
7.1 Both parties agree to maintain confidentiality of all confidential information disclosed during the engagement.
7.2 This obligation continues after termination of services.
8. INTELLECTUAL PROPERTY
8.1 All materials, methodologies, tools, templates, and intellectual property created or used by the Company remain the property of the Company unless otherwise agreed in writing.
8.2 The Client is granted a non-exclusive, non-transferable licence to use deliverables for internal business purposes only.
9. LIMITATION OF LIABILITY
9.1 The Company provides advisory services only and does not guarantee specific business results.
9.2 Our total liability shall not exceed the total fees paid by the Client for the relevant engagement.
9.3 We shall not be liable for indirect or consequential losses.
9.4 Nothing excludes liability for death, personal injury, fraud, or liability that cannot be excluded under UK law.
10. NO REGULATED FINANCIAL OR LEGAL ADVICE
The Company does not provide regulated financial services, legal advice, or tax advice. Clients should seek independent professional advice where appropriate.
11. DATA PROTECTION
We process personal data in accordance with UK GDPR and the Data Protection Act 2018. Please refer to our Privacy Policy for details.
12. NON-SOLICITATION
The Client agrees not to solicit or hire Company employees or contractors during the engagement and for 12 months thereafter without written consent.
13. FORCE MAJEURE
We are not liable for delays or failures caused by events beyond our reasonable control.
14. COMPLAINTS
Complaints should be submitted in writing to contact@jsbusinessdevelopmentconsulting.co.uk. We aim to acknowledge within 5 working days and resolve within 28 days.
15. AMENDMENTS
We reserve the right to update these Terms at any time. Updated Terms take effect upon publication.
16. SEVERABILITY
If any provision is found invalid, the remaining provisions remain in effect.
17. ENTIRE AGREEMENT
These Terms constitute the entire agreement between the parties.
18. GOVERNING LAW AND JURISDICTION
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
